These Terms of Service (“Terms”) govern your access to and use of the websites, applications, and related services (collectively, the “Services”) operated by Wexxle, LLC (“Wexxle,” “we,” “us,” or “our”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not access or use the Services.

You must be at least 18 years of age to use the Services.

When creating an account, you agree to provide accurate, current, and complete information and to keep such information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You may not share or transfer your account to another person without our permission.

Wexxle provides a technology platform that may include:

• A progressive web application (PWA)
• Location-based and augmented reality features
• Digital asset tagging and content tools
• Subscription-based services
• Digital products, features, or experiences
• QR code–based access or entitlement mechanisms
   

We may update, modify, suspend, or discontinue any part of the Services at any time, with or without notice. The Services may operate across multiple domains or platforms operated by Wexxle.

Certain features of the Services require a paid subscription. Subscriptions may be offered on a recurring basis (monthly, annual, or otherwise) and will automatically renew unless canceled before the renewal date.

By purchasing a subscription or digital product, you authorize Wexxle or its third-party payment processors to charge your selected payment method for applicable fees, taxes, and recurring charges.

Except where required by law or explicitly stated otherwise, all payments are non-refundable. Canceling a subscription stops future charges but does not retroactively refund prior payments.

Some products or services may be delivered or activated through QR codes or similar digital mechanisms (“Digital Entitlements”).

You acknowledge and agree that:

• A Digital Entitlement represents a limited, revocable, non-transferable license to access a digital feature, service, or experience.
• Digital Entitlements may be one-time use, time-limited, account-bound, or subject to other restrictions.
• Digital Entitlements do not confer ownership of any physical or real-world asset.
• Wexxle may invalidate, revoke, or expire a Digital Entitlement if it is misused, transferred, duplicated, obtained fraudulently, or used in violation of these Terms.
   

The Services may allow you to access, create, or interact with digital assets, including virtual tags, content, or experiences.

Unless explicitly stated otherwise:

• Digital assets are licensed, not sold.
• Your license is personal, non-exclusive, non-transferable, and revocable.
• Wexxle may modify, suspend, or retire digital assets or features as the platform evolves.
   

You may be permitted to create, upload, or share content (“User Content”).

You retain ownership of your User Content. By submitting User Content, you grant Wexxle a worldwide, non-exclusive, royalty-free license to host, store, display, and use such content solely for operating and improving the Services.

You are responsible for ensuring your User Content does not violate applicable laws or third-party rights.

You agree not to:

• Use the Services for unlawful or fraudulent purposes
• Interfere with or disrupt the Services or systems
• Attempt unauthorized access to accounts or data
• Upload malware or harmful code
• Misuse location-based, QR, or digital tagging features
• Violate applicable laws or regulations
   

We may suspend or terminate access for violations of these Terms.

All software, designs, trademarks, logos, and materials provided by Wexxle (excluding User Content) are owned by or licensed to Wexxle and are protected by intellectual property laws.

You may not copy, modify, distribute, or create derivative works without our prior written consent.

The Services may integrate with third-party services or platforms. Wexxle is not responsible for third-party content, availability, or practices. Your use of third-party services is governed by their respective terms.

You may stop using the Services at any time.

Wexxle may suspend or terminate your access at its discretion, including for violation of these Terms, misuse of the Services, or legal compliance requirements.

Termination does not relieve you of payment obligations incurred prior to termination.

The Services are provided “as is” and “as available.”
To the fullest extent permitted by law, Wexxle disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by law, Wexxle shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising out of or related to your use of the Services.

You agree to indemnify and hold harmless Wexxle, its affiliates, and their officers, directors, and employees from claims, damages, or expenses arising from your use of the Services or violation of these Terms.

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles.

Wexxle provides its Services for individual, commercial, and enterprise use. Enterprise customers may be subject to additional terms, service levels, data handling requirements, or security obligations as agreed in a separate written agreement with Wexxle.

Unless otherwise stated in a written enterprise agreement:

• Enterprise use remains subject to these Terms of Service and the Privacy Policy
• Digital assets, entitlements, and platform features are licensed, not sold
• Data access, retention, and deletion are governed by Wexxle’s standard operational and security policies
   

Enterprise customers are responsible for ensuring their users’ compliance with applicable laws, internal policies, and these Terms.

We may update these Terms from time to time. If we make material changes, we will update the effective date. Continued use of the Services constitutes acceptance of the revised Terms.
